Sentinel Voice Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, websites, applications, and related products (collectively, the "Services") provided by Sentinel Voice ("Sentinel Voice," "we," "us," or "our"). By accessing or using our Services in any manner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility and Scope

The Services are intended for use by business entities and professionals in the home services industry (including, but not limited to, HVAC, plumbing, electrical, cleaning, and related trades). By using the Services, you represent and warrant that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or the business entity you represent.

2. Description of Services

Sentinel Voice is a home services automation agency that provides marketing automation, communication workflows, appointment scheduling, lead management, and related consulting and implementation services. Specific features, functionality, and service levels may be described in separate statements of work, order forms, or subscription plans (collectively, "Order Forms") that you enter into with us. In the event of any conflict between these Terms and an Order Form, the Order Form will govern solely with respect to the conflicting terms.

3. Account Registration and Security

To access certain features of the Services, you may be required to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Sentinel Voice is not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Acceptable Use and Compliance

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, rules, and regulations, including but not limited to data protection, privacy, telemarketing, and anti-spam laws and regulations (such as the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and analogous state and international laws). You are solely responsible for the content and legality of any messages, campaigns, or automations that you configure or send using the Services.

  • Use the Services to send unlawful, deceptive, abusive, harassing, defamatory, or otherwise objectionable content.
  • Send unsolicited or unauthorized advertising, promotional materials, or spam.
  • Attempt to probe, scan, or test the vulnerability of any Sentinel Voice system or network, or breach any security or authentication measures.
  • Use the Services in a way that interferes with or disrupts the integrity or performance of the Services or related systems.
  • Misrepresent your identity, the identity of your organization, or your affiliation with any person or entity.

5. Messaging and Communications (SMS, Voice, Email)

Our Services may include tools that enable you to send and manage communications to your customers and leads via SMS, voice calls, email, and other channels. You acknowledge and agree that you are solely responsible for obtaining all necessary consents, authorizations, and permissions from your end users before sending any such communications, including any consent required under applicable telemarketing, privacy, and consumer protection laws.

If you use Sentinel Voice to facilitate SMS communications, you must clearly disclose to your end users the nature of the messages they will receive, obtain their express consent where required, and honor all opt-out and do-not-contact requests in a timely manner. Message and data rates may apply to your end users, and you are responsible for disclosing this to them as part of your consent and onboarding process.

Message frequency varies" and "Text STOP to cancel. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.'"

You acknowledge that Sentinel Voice may rely on third-party carriers, platforms, and service providers to transmit your communications, and that we do not control and are not responsible for delays, failures, or errors in transmission caused by such third parties or by network conditions outside our reasonable control.

6. Fees, Billing, and Taxes

Fees for the Services will be specified in your Order Form or subscription plan and are typically charged on a recurring basis (e.g., monthly or annually), unless otherwise agreed in writing. All fees are non-refundable except as expressly provided in these Terms or in the applicable Order Form. You authorize Sentinel Voice (and our designated payment processors) to charge your chosen payment method for all applicable fees when due.

You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Services, excluding taxes based on our net income. We may suspend or terminate your access to the Services if any undisputed fees are past due, after providing you with reasonable notice and an opportunity to cure.

7. Intellectual Property and License

Sentinel Voice and its licensors retain all right, title, and interest in and to the Services, including all underlying software, technology, templates, documentation, and derivative works thereof, as well as all associated intellectual property rights. Subject to your continued compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the applicable subscription term.

You may not, and may not permit any third party to: (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or disassemble any part of the Services; (c) rent, lease, sell, assign, sublicense, or otherwise transfer your rights to the Services; or (d) remove, obscure, or alter any proprietary notices or trademarks contained in or on the Services.

8. Customer Data and Privacy

"Customer Data" means any data, content, or information that you or your authorized users submit to or through the Services, including information about your leads, customers, and communications. As between you and Sentinel Voice, you retain all right, title, and interest in and to your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and use Customer Data as necessary to provide and improve the Services and as otherwise described in our Privacy Policy.

You represent and warrant that you have obtained all necessary rights, consents, and permissions to submit Customer Data to the Services and to grant the foregoing license to Sentinel Voice. You are solely responsible for the accuracy, quality, and legality of Customer Data, and for ensuring that your use of the Services in relation to Customer Data complies with all applicable laws and your own privacy notices and policies.

9. Confidentiality

Each party (the "Receiving Party") may gain access to confidential or proprietary information of the other party (the "Disclosing Party") in connection with the Services. The Receiving Party agrees to use such confidential information only for purposes of performing its obligations or exercising its rights under these Terms, to protect such information using a reasonable standard of care (and no less than the care it uses to protect its own similar information), and not to disclose such information to any third party except to its employees, agents, or contractors who need to know such information and who are bound by confidentiality obligations no less protective than those herein.

10. Term, Suspension, and Termination

These Terms are effective from the date you first access or use the Services and will continue in effect until terminated in accordance with this Section. Either party may terminate an ongoing subscription term as set forth in the applicable Order Form or, where permitted, by providing advance written notice to the other party. We may suspend or terminate your access to the Services immediately upon notice if you materially breach these Terms, including for non-payment, violation of our acceptable use requirements, or use of the Services in a manner that may cause harm or legal liability to Sentinel Voice or any third party.

Upon termination of your subscription or access to the Services, your right to use the Services will cease, and we may deactivate or delete your account. We may, but are not obligated to, retain Customer Data for a limited period following termination. You are responsible for exporting or backing up any Customer Data that you wish to retain before the end of your subscription term or the effective date of termination, subject to any data export capabilities made available within the Services.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND SENTINEL VOICE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF THE SERVICES OR THE RESULTS OF SUCH USE IN TERMS OF ACCURACY, RELIABILITY, OR PERFORMANCE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SENTINEL VOICE, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO SENTINEL VOICE FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sentinel Voice and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any Customer Data or communications you send or manage through the Services, including any allegation that such data or communications infringe, misappropriate, or violate the rights of a third party or applicable law.

14. Changes to the Services and Terms

We may update or modify the Services from time to time, including by adding or removing features or functionality. We may also update these Terms periodically. When we make material changes to these Terms, we will provide notice by updating the "Last updated" date at the top of this page and, where appropriate, by sending you an email or providing an in-app notification. Your continued use of the Services following such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which Sentinel Voice is organized, without regard to its conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for the resolution of any disputes arising out of or relating to these Terms or the Services, and waive any objection based on inconvenient forum or lack of personal jurisdiction.

16. General Terms

These Terms, together with any applicable Order Forms and our Privacy Policy, constitute the entire agreement between you and Sentinel Voice regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to the subject matter hereof. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Sentinel Voice may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets related to the Services. No waiver of any provision of these Terms will be effective unless in writing and signed by the waiving party.
